Data Processing Agreement

Define Clear Responsibilities for Personal Data

This page explains the topics addressed when a Groticx engagement requires a Data Processing Agreement. It is an overview, not an executed agreement. Applicable obligations must be set out in the signed contract for the relevant project.

When a DPA May Be Needed

A DPA may be relevant where Groticx processes personal data on a client’s instructions while providing agreed services. The parties’ actual roles must be assessed for the engagement.

Scope of Processing

The agreement should identify the service, processing purpose, duration, categories of people, types of personal data, and documented instructions.

Confidentiality and Security

It should define confidentiality obligations, appropriate safeguards, authorized access, and the responsibilities of each party.

Service Providers

It should identify relevant subprocessors or the agreed authorization procedure, including how changes are communicated.

Supporting the Client

It should explain assistance with applicable individual-rights requests, security incidents, regulatory inquiries, and other agreed data protection responsibilities.

Transfers, Retention, and Deletion

It should address processing locations, any required transfer safeguards, retention, and the return or deletion of information when services end.

Review and Accountability

It should define how compliance information, reviews, and any audit rights are handled.
